General terms and conditions – v3 31-05-2022

Article 1: Quotations, offers

All offers from the supplier hereinafter referred to as Orange Copy are without obligation, unless otherwise agreed.

Article 2: Delivery

Upon dispatch, the client bears the risk for the copy made available to the supplier to be multiplied or reproduced. In addition, freight and shipping costs are borne by the client.

Article 3: Copyrights

The client guarantees the supplier that no copyright infringement will be infringed by placing an order for duplication or reproduction.

Article 4: Materials and products supplied by the client

Orange Copy accepts no liability for damage to the originals or own materials that could occur during normal processing.

Article 5: Delivery period

Delivery times agreed by Orange Copy cannot be regarded as strict, unless otherwise agreed.

Article 6: Liability upon delivery

If the documents presented to Orange Copy for duplication or reproduction are not collected within two weeks after presentation, unless otherwise agreed, they will be returned at the expense of the client.

Article 7: Examination upon delivery

After delivery, the client must investigate whether Orange Copy has properly delivered the order. Complaints about the delivered goods must be notified to Orange Copy within 7 days of delivery.

Article 8: Client's liability

When orders are issued for the account of third parties, the client remains liable at all times for payment of the entire invoiced amount.

Article 9: Payment term

All invoices must be paid in full within 7 days of the invoice date, unless otherwise agreed with Orange Copy.

Article 10: Payment conditions

The client cannot rely on any discount, settlement or suspension, or have it seized on the basis of unilateral claims against Orange Copy.

Article 11: Deviations

With custom work, the deviation between the delivered and the original work is not guaranteed.

Article 12: Force majeure

Orange Copy is not in default in the event of failure to comply with the agreement as a result of war, mobilization, unrest, flooding, transport disruption, fire, machine breakdown and other accidents, strikes and other similar situations.

Article 13: Price change

Orange Copy is entitled to increase the price in the event of an increase in the costs of materials, manufacturers or services required for the execution of the agreement.

Article 14: Applicable law

Dutch law applies to all agreements concluded between Orange Copy and the client.
